1. Services
Falconic Technologies ("Falconic Tech", "we", "us") provides custom software development, AI/ML development, cloud infrastructure, cybersecurity consulting, and related technical services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Project Agreement signed by both parties.
2. Intellectual property
Upon full payment of all milestone invoices, all custom work product created specifically for the client is assigned to the client. This assignment is memorialised in a signed IP Assignment Agreement issued at project commencement. Third-party open-source components remain under their respective licences. Falconic Tech retains ownership of general-purpose tools, frameworks, and methodologies developed independently of any client engagement.
3. Payment terms
Invoices are issued at milestone completion and are due within 14 days unless otherwise specified in the Project Agreement. Work on subsequent milestones may be paused if an outstanding invoice exceeds 30 days without payment or written dispute. A late payment fee of 1.5% per month applies to invoices unpaid beyond 30 days.
4. Confidentiality
Both parties agree to keep confidential all non-public technical, business, and commercial information disclosed during the engagement. This obligation survives termination of the engagement for a period of three years.
5. Warranties and limitation of liability
We warrant that all work product will materially conform to the agreed specifications for 90 days following delivery. Our total liability for any claim arising from an engagement is limited to the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.
6. Termination
Either party may terminate an engagement with 14 days written notice. The client is liable for all completed milestone work at the time of termination. Falconic Tech will deliver all completed work product and documentation upon receipt of outstanding payment.
7. Governing law
These terms are governed by the laws of the Islamic Republic of Pakistan. Disputes shall first be addressed through good-faith negotiation, then through binding arbitration under the rules of the Pakistan Centre for International Dispute Resolution.
